MARKET NOTIFICATION - Decisions Taken at Board of Directors' Meeting Held on 2 September 2026

Dolphin Cove Limited (the "Company") hereby advises the Jamaica Stock Exchange that, at a meeting of the Board of Directors of the Company held on 2 September 2026, the Board considered and approved certain matters relating to the governance structure of the Company.

The Board approved the appointment of Colin Kerr as Deputy Chairman of the Board, with effect from 2 September 2026.

The Board also approved the consolidation of the Company's Board committees. The Audit Committee will remain in place, while the Corporate Governance Committee and the Remuneration Committee have been consolidated into a single Corporate Governance and Remuneration Committee.

The members of the Board's committees are as follows:

Audit Committee: Sylvain Dominici (Chairman); Colin Kerr; John Bailey; and Noel Levy.
Corporate Governance and Remuneration Committee: Alberto Berges (Chairman); Darys Estrella; Colin Kerr; and Stafford Burrowes.
