The Registrant has been unable, without unreasonable effort or expense, to timely compile all information for the disclosures required to be included in its Annual Report on Form 10-K for the fiscal year ended June 30, 2025. The Registrant expects to file the Annual Report no later than the fifteenth calendar day following the prescribed filing date.

The Registrant recognized revenue of $557,217 and $50,674 during the fiscal years ended June 30, 2025 and 2024, respectively. Revenue generated during fiscal year 2025 and 2024 consisted of monthly rental income and commissions from short term residential property rentals as well as monthly rental income and commissions from its commercial property rentals. The increase in revenue from fiscal year 2024 to fiscal year 2025 was a result of the completion of renovations to the Casamora property, which increased the bookings of existing units.

During the fiscal years ended June 30, 2025 and 2024, the Registrant incurred sales and marketing expenses of $198,167 and $36,675, respectively, consisting of marketing and support of our products and services, promotional and public relations expenses and management and administration expenses in support of rental offerings and marketing. The increase in sales and marketing expenses from fiscal year 2024 to fiscal year 2025 was due to increased activity in marketing and sales compared to the prior period.

During the fiscal years ended June 30, 2025 and 2024, the Registrant recognized operating losses of $(2,780,579) and $(7,023,958), respectively. The decrease in operating loss from fiscal year 2024 to fiscal year 2025 was a result of decrease in general and administrative expenses and an increase in recognized revenue, which occurred from increased bookings of available units.
