Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. |
Verizon Communications Inc. ("Verizon") previously filed a Current Report on Form 8-K(the "Original Filing") to report that on August 25, 2025, the Verizon Board of Directors elected Jennifer K. Mann as a director, effective on that date. At the time of the Original Filing, the Board of Directors had not made a determination regarding any committee assignment for Ms. Mann. Verizon is filing this amended Current Report on Form 8-K/Ato report that on December 4, 2025, the Board of Directors appointed Ms. Mann to the Human Resources Committee, effective immediately.
