Compensation Practice
Description
At-Risk Compensation
In Fiscal 2026, nearly all of our NEO compensation was tied to either short- or long-term IREN performance: 96% of our Co-CEOs' total target compensation was at risk compensation (Mr. Lewis' was 75% at risk). At-risk compensation (a) includes short-term annual cash bonuses and both time-based and performance-based equity awards and (b) excludes any one-time equity awards and the 2027 Co-CEO Staking Grants.
In Fiscal 2027, our Co-CEOs will not receive any annual long-term incentive equity grant, because the 2027 Co-CEO Staking Grants made on July 1, 2026 replace annual equity awards for their four-year vesting period.
Incentive Metrics
A large portion of our NEOs' Fiscal 2026 compensation was tied to relative TSR to promote proper alignment with shareholders. Incentive metrics are regularly reviewed by the Compensation Committee and are directly aligned with shareholder value creation.
Risk Assessment of Compensation Programs
The Compensation Committee periodically reviews whether risks arising from IREN's compensation policies and practices are reasonably likely to have a material adverse effect on IREN.
Clawback Policy
In addition to the recoupment of certain incentive-based compensation that may be erroneously awarded to a current or former NEO or other executive officer in the event of a financial restatement in accordance with Nasdaq listing requirements, the STIP and the 2023 LTIP also allow the Board to reduce unvested awards, and to recover awards (including time-based awards) vested or paid out within the previous three years, in cases of misconduct.
Long-Term Vesting Requirements
Equity awards granted to our executives, including our NEOs, vest over multiple years following the date of grant, which is consistent with current market practice and our executive retention objectives. Our 2027 Co-CEO Staking Grants, granted in Fiscal 2027 to our Co-CEOs, vest over four years with each vested installment subject to a further two-year holding period, so that no installment may be monetized within three years of grant and the final installment not until six years after grant.
Annual Executive Compensation Review
The Compensation Committee conducts an annual review of our compensation strategy, including a review and determination of our compensation peer group used for comparative purposes.
Independent Compensation Consultant
The Compensation Committee has retained a compensation consultant whose relationship with IREN was confirmed to be independent for Fiscal 2026.

The amounts shown in this column represent the grant date fair value of TRSUs and PRSUs granted to the NEOs, calculated in accordance with FASB ASC Topic 718, excluding the effect of estimated forfeitures. The grant date fair value of the TRSUs and PRSUs in this column is estimated using the closing share price on the grant date and Monte-Carlo simulations and, in the case of the PRSUs, based on the probable outcome of the performance conditions as of the grant date. The assumptions that we used to calculate these amounts are discussed in Notes 2 and 25 to our audited financial statements in the 2026 Annual Report on Form 10-K. The grant date value of the PRSUs granted to our NEOs in Fiscal 2026 and reported in the table above, assuming the highest level of achievement of the applicable performance conditions, is as follows: William Roberts ($19,902,769), Daniel Roberts ($19,902,769), Anthony Lewis ($709,269) and Belinda Nucifora ($709,269).

The amounts in this column reflect the grant date (based on Australian Eastern Standard Time) fair value of the TRSUs and PRSUs granted to our NEOs during Fiscal 2026, computed in accordance with FASB ASC Topic 718, excluding the effect of estimated forfeitures. TRSUs are valued using the closing share price on the grant date ($14.57). PRSUs are valued using a Monte Carlo simulation model (at maximum achievement), which estimates the grant date fair value by incorporating the market condition (relative TSR) into the valuation. This amount does not reflect the actual economic value realized by the NEOs.
(3)
Represents grants of the 2026 Annual TRSUs, which will vest in two equal installments of 896,696 on each of July 1, 2026 and July 1, 2027, subject to continued service through each applicable vesting date.
(4)
Represents grants of the 2026 Annual PRSUs, which are eligible to vest based on IREN's achievement of relative TSR measured against the Russell 2000 Index during the three-year performance period from July 1, 2025 through June 30, 2028, subject to continued service through the applicable vesting date. The number of RSUs shown represents the maximum level of achievement (200% of target of 770,231 RSUs). The threshold number of RSUs is 385,116.
(5)

(2)
Represents grants of options under the 2021 Long-Term Target Option Plan. The options were originally granted in four tranches of 600,000 ordinary shares each, subject to the volume-weighted average price of an ordinary share equaling or exceeding specified vesting thresholds over any period of 20 consecutive trading days. The options are subject to customary adjustments to reflect any reorganization of IREN's capital, as well as adjustments to vesting thresholds including any future issuance of ordinary shares by IREN on a fully dilutive basis. The first two vesting events occurred on October 7, 2025 and May 14, 2026. The remaining two vesting events have vesting thresholds of $71.76 and $143.52, respectively, as recalculated on a fully dilutive basis as of June 30, 2026. The options have an exercise period of 12 years. The VWAP thresholds may also be triggered by a sale or takeover of IREN based upon the price per ordinary share received in such transaction.
