Resolutions of the General Meeting of Shareholders of AS Agrova Baltics held on 22 July, 2026

1. Reports of the Management Board, the Supervisory Board and the statement of the sworn auditor, approval of the Annual Reports for 2025

  1. To take note of the reports of the Management Board and the Supervisory Board of AS Agrova Baltics, as well as the report of the sworn auditor.
  2. To approve the combined audited Standalone Annual Report and the audited Consolidated Annual Report of AS Agrova Baltics for 2025, prepared by the Management Board of AS Agrova Baltics and reviewed by the Supervisory Board.

2. Use of profits

  1. To pay dividends to the shareholders of AS Agrova Baltics from part of the retained earnings of AS Agrova Baltics from previous years in the amount of EUR 2,000,000 net, or EUR 0.3491 net per share, based on the number of shares issued as at the date of approval of the financial statements - 5,727,930 shares.
  2. To determine that the dividend Ex-date is 6 August 2026 (i.e., the date from which dividends will not be received for the shares purchased in respect of which a decision to pay dividends was adopted). To determine that the dividend record date is 7 August 2026. To determine that the dividend payment date is 8 August 2026.

3. Election of the auditor and determination of remuneration of the auditor

  1. To elect AS "Baker Tilly Baltics" (commercial company licence No. 80) as the auditor of AS Agrova Baltics for the audit of the 2026 Annual Reports.
  2. To determine that the remuneration payable to the auditor for the audit of the 2026 Annual Reports shall not exceed EUR 35 000, excluding VAT.
  3. To authorise the Management Board of AS Agrova Baltics to enter into an agreement with the elected auditor for the audit of the 2026 Annual Reports of AS Agrova Baltics.
