The pre-commencement communications filed under cover of this Tender Offer Statement on Schedule TO are being filed by Neurocrine Biosciences, Inc., a Delaware corporation ("Neurocrine"), and Sigma Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Neurocrine ("Purchaser"), pursuant to General Instruction D to Schedule TO related to a planned tender offer by Purchaser for all of the outstanding shares of common stock, par value $0.001 per share, of Soleno Therapeutics, Inc., a Delaware corporation ("Soleno").
