Katten Adds Cot Eversole to Capital Markets Practice in Chicago

(CHICAGO) Katten announced today that Cot Eversole has joined the firm's Capital Markets practice as a partner in Chicago. Cot previously served as the Deputy General Counsel - Securities at CRH plc (NYSE: CRH), an Ireland-headquartered global building materials company and a member of the S&P 500 and Fortune Global 500. In that role, he advised the board and senior management on complex capital markets transactions, securities law matters, corporate governance issues, investor engagement, and other strategic initiatives. He also guided CRH's transition to U.S. domestic issuer status following the move of its listing to NYSE and supported the continued development of the company's sophisticated U.S. capital markets platform.

Cot partners with public and private companies, private equity sponsors, family offices, boards, management teams and investors on capital raising, growth initiatives, liquidity alternatives, governance, and the legal and practical issues that arise as organizations scale, access capital, pursue strategic initiatives and navigate increasingly complex governance and investor expectations. His practice includes a broad range of public and private capital markets transactions, including IPOs, secondary and follow-on offerings, private financings, and high-yield and investment grade debt offerings. He regularly works with U.S. and international companies on SEC reporting and disclosure, public company readiness, listings and uplistings, corporate governance, investor engagement, board and executive advisory matters, strategic and transformational transactions (including mergers, acquisitions and divestitures), shareholder activism and other significant corporate and securities law matters. Previously trained as an accountant, Cot brings a combination of legal, financial, and operational perspectives to partnering with clients. Drawing on experience both as lead external counsel on significant capital markets and strategic initiatives and as a senior legal leader at CRH, he understands how boards, management teams and investors evaluate growth opportunities, governance challenges, capital allocation decisions, and transactions.

"Cot's sophisticated capital markets experience, practical business judgment and deep understanding of the securities regulatory landscape make him an outstanding addition to our team," said Mark Wood and Lawrence Levin, co-heads of the firm's Capital Markets practice. "He brings a valuable combination of private practice and in-house experience that allows him to approach matters from multiple perspectives."

"Cot is an excellent addition to our Chicago office," said Jennifer Wolfe, managing partner of Katten's Chicago office. "His impressive experience, client-centered approach and reputation for excellence align perfectly with the qualities we value at Katten."

Katten's Capital Markets practice represents public and private issuers, underwriters, placement agents and investors in public and private securities offerings, including IPOs, debt offerings, PIPEs, strategic transactions, and venture and growth capital. The group handles transactions at every stage in a company's life cycle from venture and growth capital to public company exits and has extensive experience handling cross-border transactions and regulated regulatory issues. Attorneys in our active Capital Markets practice have closed hundreds of transactions with values ranging from approximately $5 million to $3.5 billion.
