Proposal 1: Election of Louie Ngar Yee and Steven Chaouki to our Board of Directors as our Class I directors. The election of Louie Ngar Yee and Steven Chaouki to our board of directors as Class I director nominees requires the affirmative vote of shares of Common Stock representing a plurality of the votes of the holders of the shares present in person, by remote communication, or represented by proxy at the Annual Meeting and entitled to vote generally on the election of directors. This means that the two Class I director nominees will be elected if they receive more affirmative votes than any other person. You may not cumulate your votes for the election of directors. Brokers may not use discretionary authority to vote shares on the election of directors if they have not received specific instructions from their clients. For your vote to be counted in the election of directors, you will need to communicate your voting decisions to your bank, broker or other nominee before the date of the Annual Meeting in accordance with their specific instructions. In recognition of the past and continued future services provided by members of the Company's board of directors (the "Board"), the Board determined it advisable and in the best interests of the Company and its stockholders and to further align the interests of directors with those of the Corporation's stockholders, to allow members of the Board to purchase shares of common stock and common stock purchase warrants being sold in the Company private placements on each of February 24, 2025 (the "February 2025 Private Placement"), March 3, 2025 (the "March 2025 Private Placement"), May 8, 2025 (the "May 2025 Private Placement"), June 3, 2025 (the "June 2025 Private Placement"), October 1, 2025 (the "October 2025 Private Placement") and December 22, 2025 (the "December 2025 Private Placement,") together (the "Private Placements"). The shares of Common Stock and common stock purchase warrants were issued under the Company's 2021 Plan as Unrestricted Stock Awards and Awards of Options, respectively as such shares and warrants were acquired on the same terms and conditions as unaffiliated third party investors, the Company does not deem such purchases as compensatory.

The aggregate grant date fair value of such awards were computed in accordance with Financial Accounting Standards Board ASC Topic 718, Stock Compensation (ASC Topic 718), and do not take into account estimated forfeitures related to service-based vesting conditions, if any. The valuation assumptions used in calculating these values are discussed in Note 5 of the Notes to Consolidated Financial Statements appearing elsewhere herein. These amounts do not represent actual amounts paid or to be realized. Amounts shown are not necessarily indicative of values to be achieved, which may be more or less than the amounts shown as awards may subject to time-based vesting.

Steven Chaouki purchased the following shares of common stock in the Private Placements which were each issued as an Unrestricted Stock Award under the 2021 Plan: (i) 40,849 shares of common stock for a purchase price of approximately $50.000. For his 2025 board compensation, Mr. Chaouki was issued 87,111 options. In addition, he purchased the following warrants which were each issued as an Award of Options under the Company's 2021 Equity Incentive Plan (i) 40,849 warrants with an exercise price of $1.36 in the December 2025 Private Placement.

Ramiro Guerrero purchased the following shares of common stock in the Private Placements which were each issued as an Unrestricted Stock Award under the 2021 Plan: (i) 73,333 shares of common stock for a purchase price of approximately $110,000; (ii) 33,333 shares of common stock for a purchase price of approximately $50,000 and (iii) 20.000 shares of common stock for a purchase price of $30,000. For his 2025 board compensation, Mr. Guerrero was issued 85,190 options. In addition, he purchased the following warrants which were each issued as an Award of Options under the Company's 2021 Equity Incentive Plan (i) 73,333 warrants with an exercise price of $1.87 in the February 2025 Private Placement; (ii) 33,333 warrants with an exercise price of $1.85 per share in the March 2025 Private Placement and (iii) 20,000 warrants with an exercise price of $2.05 per share in the May 2025 Private Placement.
