Willkie is representing Blue Wolf Capital Partners LLC, majority owner of LOGISTEC, a multi-purpose terminal operator and logistics service provider, in the sale of LOGISTEC's marine terminal division to Enstructure, one of North America's leading terminal and logistics companies. Blue Wolf Capital will remain an investor in the combined business.
Enstructure recently announced that it entered into an agreement to acquire all of the marine terminal operations of LOGISTEC, creating a leading network of marine terminals across North America.
Following the transaction, Blue Wolf Capital will retain majority ownership and continue to invest in the growth of CoreAqua and Sanexen, previously LOGISTEC's Environmental Services division. CoreAqua is a leading provider of trenchless water infrastructure solutions, while Sanexen specializes in environmental services.
Willkie previously advised Blue Wolf Capital on its take-private acquisition of LOGISTEC in 2024 for approximately C$1.2 billion.
