EXPLANATORY NOTE
This Post-Effective Amendment No. 3 to the Registration Statement on Form N-4, File No. 333-286279, is being filed pursuant to paragraph (b)(1)(iii) of Rule 485 under the Securities Act of 1933, as amended (the "1933 Act") for the sole purpose of delaying, until February 24, 2026, the effectiveness of Post-Effective Amendment No. 1, which was filed on October 7, 2025 (accession no. 0000910739-25-000017) pursuant to paragraph (a)(1) of Rule 485 under the 1933 Act. We are currently in the process of responding to Staff comments, and we will make a filing pursuant to Rule 485 at a future date that incorporates our responses to the comments and any required missing information or items. The Prospectus, Statement of Additional Information and Part C that were filed as part of Post-Effective Amendment No. 1 are hereby incorporated by reference. Other than as set forth herein, this Post-Effective Amendment No. 3 does not amend or delete any other part of this Registration Statement.
