Dentons Cárdenas & Cárdenas advises Mineros S.A. on the acquisition of a gold exploration project in the Tolima department

Dentons Cárdenas & Cárdenas advised Mineros S.A. on the acquisition of a 100% interest in a gold exploration project located in the Tolima department, previously owned by a subsidiary of AngloGold Ashanti PLC.

The transaction was structured through the acquisition of all issued and outstanding shares of AngloGold Ashanti Colombia S.A.S., the company holding the mining concession agreement EIG-163.

The transaction includes an initial cash consideration, as well as a contingent consideration subject to the achievement of certain regulatory and environmental milestones. This acquisition is part of Mineros S.A.'s strategy to strengthen its asset portfolio in Colombia, leveraging its local expertise and commitment to responsible and sustainable mining.

Dentons Cárdenas & Cárdenas advised Mineros S.A. on the structuring and negotiation of the transaction, including the drafting and review of the related transaction documents, contributing to the successful closing of a strategic deal for the Colombian mining sector.
