Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On October 13, 2026, the Company, through a wholly owned subsidiary, borrowed the entire $177.5 million available under a previously reported credit facility secured by certain aircraft in the Company's fleet. The loans under this facility bear interest at a fixed rate, and provide for quarterly amortizing payments beginning in July 2027 over a term of five to six years depending on aircraft grouping. The proceeds from any drawdowns will be used to support upcoming aircraft deliveries and for general corporate purposes.
In addition, prior to the end of third quarter 2026, the Company, through a wholly owned subsidiary, borrowed $71.8 million under a previously reported $231.0 million credit facility to fund a portion of the pre-delivery payments due to The Boeing Company for certain Boeing 737-MAX aircraft. The loans are payable on or before the delivery of the associated aircraft but no later than March 31, 2028. The loans provide for floating interest rates based on SOFR plus a margin and are secured by a collateral assignment of the purchase contract relating to the associated aircraft. After this drawdown, $159.3 million of the facility remains undrawn.
