WARSAW -7 May 2026- Greenberg Traurig advised Rex Concepts S.A. (the "Company"), the master franchisee of Burger King and Popeyes in Poland, Czechia and Romania, as well as Rex Invest CEE - a company in the McWin group - as the selling shareholder, on the initial public offering (IPO) of the Company's shares and the admission of the shares to trading on the regulated market operated by the Warsaw Stock Exchange.
The total value of the offering amounted to approximately PLN 497.8 million, with a final offer price set at PLN 14 per share. The offering comprised 32 million newly issued and 3,555,555 existing shares offered by Rex Invest CEE in connection with the stabilisation structure. Gross proceeds from the new issue amounted to approximately PLN 448 million.
The IPO of the Company included a retail and institutional public offering in Poland, as well as an institutional offering for investors outside of Poland in accordance with Rule 144A and Regulation S under the U.S. Securities Act.
Greenberg Traurig provided comprehensive legal advisory services to the Company and Rex Invest CEE in connection with the preparation and execution of the IPO.
WOOD & Company Financial Services, Polish Branch, and Pekao Investment Banking acted as Global Co-coordinators and Joint Bookrunners with respect to the institutional offering. Bank Polska Kasa Opieki S.A. - Biuro Maklerskie Pekao and Ipopema Securities acted as Joint Bookrunners. Biuro Maklerskie Pekao acted as the stabilisation manager.
